Terms & Conditions
Last updated: 2026
These Terms & Conditions govern your use of the Haxell Solutions website and our software development, technology consulting, digital product, integration, and support services. By using our website or engaging our services, you agree to these terms unless a separate written agreement applies.
1. Services
Haxell Solutions provides technology services including software development, web and mobile applications, UI/UX design, cloud deployment, system integration, automation, dashboards, consulting, maintenance, and technology partnership support.
2. Proposals and Scope
Project scope, timelines, deliverables, fees, milestones, and responsibilities will be defined in a proposal, invoice, statement of work, quotation, contract, or other written communication. Work outside the agreed scope may require additional fees and revised timelines.
3. Client Responsibilities
4. Payments
Fees must be paid according to the agreed invoice, milestone, retainer, or payment schedule. We may pause or delay work where payments are overdue. Third-party costs may be billed separately and may be required in advance.
5. Changes, Revisions, and Delays
Changes to requirements, delayed feedback, missing content, unavailable third-party services, or new feature requests may affect cost and delivery timelines. Reasonable revisions may be included where expressly agreed.
6. Intellectual Property
Unless otherwise agreed in writing, ownership of final custom deliverables transfers to the client after full payment has been received. Haxell Solutions may retain ownership of pre-existing tools, reusable components, frameworks, libraries, templates, know-how, and internal processes used to deliver the work.
7. Portfolio Use
Unless restricted by a written confidentiality agreement, we may reference completed work in our portfolio, case studies, proposals, or marketing materials. Confidential information will not be intentionally disclosed.
8. Third-Party Services
Some projects rely on third-party services such as cloud platforms, payment gateways, APIs, hosting providers, app stores, plugins, analytics, email, SMS, or AI services. We are not responsible for outages, pricing changes, policy changes, or failures caused by third-party providers.
9. Warranties and Limitation of Liability
We aim to deliver professional and reliable services, but we do not guarantee that software will be completely error-free, uninterrupted, or suitable for every possible use case. To the maximum extent permitted by law, Haxell Solutions will not be liable for indirect losses, lost profits, loss of data, business interruption, or damages caused by misuse, unauthorised changes, third-party failure, or client-side infrastructure issues.
10. Support and Maintenance
Support, maintenance, updates, monitoring, and post-launch assistance are only included where agreed. Otherwise, they may be provided under a separate support arrangement or billed separately.
11. Confidentiality
Both parties should treat sensitive project, business, technical, and access information as confidential. Access credentials should be shared securely and changed when no longer required.
12. Termination
Either party may terminate a project according to the agreed contract or written arrangement. Fees remain payable for work already completed, time already spent, third-party costs, and committed resources.
